Terms of Service

These Terms of Service ("Terms") form a binding legal agreement between you ("you" or "User") and NxtReply ("we," "us," or "our"). By creating an account, installing the NxtReply Chrome extension, or using any part of the service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use NxtReply.

You must be at least 13 years old to use NxtReply. If you are under 18, you confirm that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using NxtReply in connection with a business, you represent that you have authority to bind that entity to these Terms.

NxtReply is a software-as-a-service ("SaaS") product comprising a Chrome browser extension and a web dashboard at nxtreply.com. The service uses artificial intelligence to generate reply suggestions, fix grammar, and provide writing assistance in text fields across websites you visit. Features may include AI reply generation, grammar correction, custom prompt management, voice call assistance, and contact-based conversation tools.

We reserve the right to modify, suspend, or discontinue any feature at any time, with reasonable notice where practicable.

• You must provide accurate and complete registration information.
• You are solely responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
• You must notify us immediately at support@nxtreply.com if you suspect unauthorized access to your account.
• One account per person. You may not share accounts.
• You may not create accounts by automated means or register under false pretenses.

5.1 Plans

NxtReply offers a Free plan and paid subscription plans (Starter, Pro, Team). Plan details including pricing, credit allowances, and included features are displayed on the pricing page at the time of purchase and are incorporated into these Terms by reference.

5.2 Credits

Usage of AI features consumes credits. Free plan users receive a daily credit allowance that resets every 24 hours and does not roll over. Paid plan subscribers receive a monthly credit allowance that resets on their billing anniversary. Top-up credits purchased separately do not expire and are used only after your plan allowance is exhausted.

5.3 Credit top-ups

One-time credit top-up packages are available for purchase. These are non-refundable digital goods. Once the credits are added to your account, the transaction is final.

5.4 Subscriptions and auto-renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current price unless you cancel before the renewal date. By subscribing, you authorize us (through our payment processor, PayPal) to charge your payment method on each renewal date. You will receive a reminder email before any annual renewal.

5.5 Payment processor

All payments are processed by PayPal. By making a purchase, you also agree to PayPal's User Agreement. We do not store your card or bank account details; all payment data is handled exclusively by PayPal.

5.6 Price changes

We may change subscription prices with at least 30 days' notice sent to your registered email. If you do not cancel before the change takes effect, you will be billed at the new price on your next renewal.

5.7 Taxes

Prices are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes applicable to your purchase under the laws of your jurisdiction.

6.1 Cancellation

You may cancel your subscription at any time from your account dashboard or by contacting support@nxtreply.com. Cancellation takes effect at the end of your current billing period; you retain access to paid features until then.

6.2 Monthly subscriptions

Monthly subscriptions are non-refundable. If you cancel mid-cycle, your plan remains active until the end of the period you have already paid for.

6.3 Annual subscriptions

You may request a refund of your annual subscription within 14 days of the initial purchase or renewal date, provided you have consumed no more than 10% of the included credits. After this window, annual subscriptions are non-refundable.

6.4 Credit top-ups

Credit top-up purchases are non-refundable. These are digital goods that are delivered immediately upon payment.

6.5 Service outages

If NxtReply is substantially unavailable due to our fault for more than 72 consecutive hours in a billing period, you may contact us to request a proportional credit to your account. This credit is your sole remedy for service downtime.

6.6 Billing errors

If you believe you were charged incorrectly, contact us within 60 days of the charge. We will investigate and, if we find an error on our part, provide a refund or credit promptly.

You agree not to use NxtReply to:

• Send spam, phishing messages, unsolicited bulk messages, or harassment.
• Generate content that is illegal, defamatory, obscene, threatening, or that infringes any third-party intellectual property rights.
• Violate the terms of service or policies of any platform on which you use the extension.
• Automate reply sending en masse without human review of each reply before dispatch.
• Attempt to reverse-engineer, decompile, or extract the source code of NxtReply.
• Resell, sublicense, or white-label the service without written permission.
• Use the service to train, fine-tune, or build competing AI models or products.
• Circumvent usage limits, abuse the free tier, or create multiple accounts to evade credit restrictions.
• Interfere with or disrupt the integrity or performance of the service or its infrastructure.

Violation of this section may result in immediate account termination without refund.

NxtReply generates suggestions using third-party AI providers. AI output may occasionally be inaccurate, incomplete, biased, or inappropriate. You are solely responsible for reviewing every AI-generated reply before sending it. We are not liable for any content you choose to send, regardless of whether it was AI-assisted. You must not rely on NxtReply's output for medical, legal, financial, or safety-critical decisions.

9.1 NxtReply's property

The NxtReply service, including its software, design, trademarks, and documentation, is owned by NxtReply and protected by copyright and other intellectual property laws. These Terms do not grant you any rights in our IP except the limited license to use the service as described herein.

9.2 Your content

You own the prompts you create and the text you choose to send. By using the service, you grant NxtReply a limited, non-exclusive, royalty-free license to process your inputs solely to deliver the service to you. We do not claim ownership of any prompt or reply.

NxtReply integrates with third-party AI providers, cloud infrastructure providers, and PayPal for payment processing. These providers have their own terms and privacy policies. We are not responsible for the actions or omissions of any third-party service. Links to third-party websites from within NxtReply are provided for convenience only and do not constitute endorsement.

Your use of NxtReply is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using NxtReply, you consent to the collection and use of information as described therein.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NXTREPLY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NXTREPLY AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NXTREPLY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $10 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless NxtReply and its affiliates, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of or inability to use the service; (b) your violation of these Terms; (c) content you generate using the service and subsequently publish; or (d) your violation of any third-party rights.

You may terminate your account at any time by contacting us. We may suspend or permanently terminate accounts that violate these Terms, with notice where reasonably practicable. Upon termination, your right to use the service ceases immediately. Sections 9, 11, 12, 13, 14, 16, and 17 survive termination.

These Terms are governed by and construed in accordance with applicable law. Any dispute arising from or relating to these Terms or the service that cannot be resolved informally shall first be submitted to good-faith negotiation via email to support@nxtreply.com. If negotiation fails within 30 days, either party may pursue available legal remedies.

We may update these Terms from time to time. If we make material changes, we will notify you by email to your registered address or via an in-app banner at least 14 days before the changes take effect. Your continued use of the service after the effective date constitutes acceptance of the updated Terms.

These Terms, together with the Privacy Policy and any additional terms displayed at the point of purchase, constitute the entire agreement between you and NxtReply regarding the service and supersede any prior agreements. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary and the remaining provisions will remain in full force.
